1. About the Services

Matchnapply provides AI-powered tools intended to help users with job search workflows, which may include creating, improving, or organizing resumes and related documents, supporting job discovery and matching, helping users manage and streamline job applications, and enabling optional automation features that may apply to jobs on your behalf based on settings you provide.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

By using the Services, you represent and warrant that:

• You meet the eligibility requirements, and
• You have the power and authority to enter into these Terms.

3. Account Registration and Security

You may be required to create an account to access parts of the Services. You agree to provide accurate and complete information, keep your account information updated, maintain the confidentiality of your login credentials, and notify us promptly of any unauthorized access or use. You are responsible for all activity that occurs under your account.

4. User Content and Inputs

4.1 Your Content

The Services may allow you to submit or upload content such as resumes and CVs, cover letters, job preferences, professional history, profile data, application materials, and other information you choose to provide (“User Content”). You retain ownership of your User Content.

4.2 License to Us

You grant us a worldwide, non-exclusive, royalty-free, limited license to host, store, reproduce, process, and use your User Content only as necessary to provide, maintain, improve, and secure the Services, and as described in our Privacy Policy.

5. AI Features and Important Disclaimers

5.1 AI Output Is Assistive

The Services may generate suggestions, text, recommendations, or automation steps (“AI Output”). You understand and agree that AI Output may be inaccurate, incomplete, or inappropriate for your situation, you are responsible for reviewing and verifying AI Output before using or submitting it, and the Services do not provide legal, HR, or guaranteed employment advice.

5.2 No Guarantee of Employment Outcomes

We do not guarantee interviews, hiring outcomes, recruiter responses, job offers, accuracy of job availability or listings, or acceptance of any application submitted.

5.3 Automation Features

If you enable automation that applies to jobs on your behalf, you authorize us to use your settings and provided data for that purpose, you remain fully responsible for the accuracy of your profile, resume, and responses, you confirm that you have the right to submit the materials used, and you accept that different employers may have different rules or requirements.

6. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes
• Misrepresent your identity, experience, or qualifications
• Submit false or misleading information to employers
• Interfere with or disrupt the Services
• Attempt to access non-public systems or data
• Scrape, reverse engineer, or circumvent security measures
• Use automation in ways that violate third-party terms (e.g., job boards or employer systems)

We may suspend or terminate accounts that violate these rules.

7. Third-Party Services

The Services may integrate with or rely on third-party providers, such as AI providers (e.g., OpenAI), payment processors (e.g., Stripe), cloud and analytics providers, social login providers, and Google APIs. Your use of third-party services may be governed by their own terms and policies.

8. Fees, Subscriptions, and Payments

Some parts of the Services may be paid. If you purchase a subscription or other paid feature, you agree to pay all fees shown at checkout, prices may change with notice as required by law, and taxes may apply depending on your location.

8.1 Billing and Renewals

Unless stated otherwise, subscriptions renew automatically. You can cancel renewal through your account settings.

8.2 Refunds

Refunds (if any) will be handled according to the plan terms shown at purchase and applicable consumer laws.

9. Intellectual Property

Except for your User Content, all rights in the Services are owned by Matchnapply or its licensors, including software, designs, trademarks, logos, text and graphics, and AI workflow structures. You may not copy, modify, distribute, sell, or lease any part of the Services unless we give you written permission.

10. Service Availability and Changes

We may modify, update, or discontinue any part of the Services, add or remove features, and change technical requirements. We will aim to provide reasonable notice where changes materially affect paid users.

11. Data, Privacy, and Cookies

Our collection and use of personal information is described in our Privacy Policy. Our use of cookies and similar technologies is described in our Cookie Policy. We do not use cookies for advertising or marketing targeting.

12. Termination

You may stop using the Services at any time and may request account deletion. We may suspend or terminate your account if you violate these Terms, your use creates risk or legal exposure, or we are required to do so by law. Upon termination, your right to use the Services ends immediately.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, that the Services will be uninterrupted, secure, or error-free, and that AI Output will be accurate or suitable.

14. Limitation of Liability

To the maximum extent permitted by law, Matchnapply will not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, data, goodwill, or business opportunities, errors in AI Output or automation outcomes, or employer decisions or third-party platform actions.

Our total liability for any claim relating to the Services will not exceed the amount you paid us (if any) in the 12 months prior to the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Matchnapply from claims arising out of your use of the Services, your User Content, your violation of these Terms, your misuse of automation or AI features, or your breach of any law or third-party rights.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

17. Changes to These Terms

We may update these Terms from time to time. We will update the “Last updated” date. If changes are material, we will provide notice through the Services or by other reasonable means. Your continued use after changes means you accept the updated Terms.
